As far as the violence goes, there was slim to none. I think I saw a blood smear, a dude's rib cage, and a few bodies on the ground but that's about it. There was no sex other than the implied one night stand the main dude had. Also, I think there were only 3 to 4 F bombs and if they had cut it down to 1 or 2 it would have been an easy PG-13.
Was it R rated? That's definitely overkill then, it would have been suitable for early teens.

Yeah it's a dumb rating there is no reason for it. I would add it to the list, alongside The King's Speech, for dumb R ratings.
shareR ratings these days are more to gain audience appeal than anything else. Clearly the producers thought this was a preferred R movie for its target audience to get the most bang for their buck. No adult would see fight club if it were rated PG. Not saying they were right on this account...
