So how would the contract between Roman and Willy stand up in court?

It would seem that it would be fairly easy to go to court and say "I only signed it under duress. He was going to throw me off the roof. There is no way I would have signed over half of a brand new hotel and casino on the strip for almost nothing"

I think you meant Ruben. :)

1. I think that Ruben's "Shook Sinatra's hand" means that he and Willy (amongst others, I assume) have a mentality (and possibly rules) where, although any young businessman can sue any other young businessman today or be petty, these old school guys have a pretty awesome gangster mentality to keep the courts and the cops out of things and settle issues like men without going crazy or getting too emotional.

2. Ruben was technically in a coma before he could call his lawyers and by the time he woke up and got better, it's clear the gang told him that they're going to get payback on Bank.

3. Ruben was alone on that roof when Bank made him sign over his share of the hotel. However, Bank had at least one bodyguard\assistant (can't remember if it was 2), which means at least one witness testifying in Bank's favor and against Willy.
