The 2 seasons of this show are like 2 totally different programmes. The first is simply hilarious, full of great one liners, silliness and the guy playing Jack is wonderful.I actually laugh out loud at a lot of the jokes. The scripts remind me of "the Simpsons" and "Futurama".The one liners come so fast you have to watch a number of times to appreciate them all.The episode "While you were out",features David Rasche in his funniest performance since "Sledge Hammer".It's much better than its forebears like "Charlie's Angels".But oh dear,in Season 2-no more Jack,no Simpson style one liners,in fact the humour is a minimum, and it just became another average adventure show.

The reason for this is that most of the producers/writers who were in season 1 were no longer there in the second season. In the 1st season the 2 showrunners (head producer/writers) were 2 ex-moonlighting writers who also were the head writer/producers on Duckman. Several of the other producer/writers, on the 1st season, also worked on Duckman, which was an animated show that had dialogue that sounded like a cross between Moonlighting and Dennis Miller rants. But all those guys were no longer there for the 2nd season because the production company wanted to change the show.
Syndicated shows, like She Spies, need to do well in the overseas markets, nowadays, in order to make money. The rapid lightning witticisms of season 1 probably were difficult to translate into other languages, so the She Spies production company probably decided to get rid of all the humor and put more emphasis on the action and romance, something that would be more popular in the overseas markets.
And that's why season 1 of She Spies is one of the funniest shows of all time and season 2 is totally boring.
Thanks for that explanation Amandaman. The repeating the other person's last line was a feature of season 1 "She Spies", which I recognized as having been used a lot by David and Maddie on "Moonlighting". Jack's song in the club in "You don't know Jack" is brilliant-I accidentally erased my copy of the episode, but luckily recaptured it from a re-run!
